Vietnam Corporate Compliance

Formation is a single event. Compliance is a calendar — the recurring and event-driven obligations that keep a foreign-invested entity in good standing after it opens.

Statutory Framework

Ongoing Regulatory Governance, Mandatory Annual Audits, and Filing Schedules

For foreign-invested enterprises (FIEs) operating in Vietnam, regulatory compliance is an ongoing legal discipline governed by the Law on Investment 2020, the Law on Enterprises 2020, and specialized tax regulations. Unlike domestic businesses, foreign-invested legal entities are held to stringent post-licensing scrutiny across financial, statistical, and operational dimensions.

Key statutory mandates include mandatory annual statutory audits performed by an independent auditing firm licensed in Vietnam, which must be completed and submitted to the Department of Planning and Investment (DPI), tax authorities, and statistical bureaus within 90 days following fiscal year-end. Additionally, enterprises must conduct periodic reporting on project implementation via the National Foreign Investment Information System (FIA portal) each quarter and year.

Failure to meet these statutory deadlines or neglecting event-driven filings—such as changes in legal representatives, charter capital contributions via Direct Investment Capital Accounts (DICA), or sub-license renewals—exposes foreign directors and entities to substantial administrative fines, suspension of business licenses, and delays in profit repatriation.
