The cost of obtaining a Business License in Vietnam depends on the licensing scenario rather than a single standard price. A relatively straightforward application involving an already-established foreign-invested enterprise, unrestricted goods and no additional retail outlet may involve a narrower scope of work. A project requiring market-access analysis, IRC/ERC amendments, one or more Retail Establishment Licenses, ENT assessment and sector-specific approvals will involve a broader process and a higher overall budget.

The total cost should be assessed as: government fees + professional fees + corporate/investment registration costs + retail establishment licensing costs + ENT costs, where applicable + sector-specific licensing costs + translation, legalization and other disbursements.

1. How Much Does a Business License Cost in Vietnam?

There is no single fixed cost that applies to every Business License application. The cost depends primarily on whether the proposed business can proceed through a straightforward licensing pathway or whether additional regulatory work is required before the application can be filed. An existing foreign-invested enterprise adding a relatively straightforward distribution activity may require only a limited regulatory review. A more complex project may involve market-access assessment, goods classification and trading-rights analysis, review of applicable WTO or FTA commitments, IRC/ERC amendments, Retail Establishment License applications, ENT assessment, sector-specific approvals, and translation/legalisation of foreign documents.

The relevant question is therefore not "what is the cost of a Business License?" but "what regulatory steps are required before the proposed business can legally begin operating?" The answer determines the overall project budget.

2. Government Fees

Government fees are generally separate from professional fees charged for legal or licensing services. The applicable statutory fees may depend on the specific administrative procedure — a project requiring only one licensing procedure will usually involve fewer administrative steps than a project requiring amendments to investment registrations, Business Licensing and Retail Establishment Licensing. Potential government-related costs may arise from investment registration procedures, enterprise registration amendments, Business License procedures, Retail Establishment License procedures, sector-specific licensing procedures, and publication or registration requirements where applicable.

3. Professional Fees

Professional fees generally reflect the scope of legal and regulatory work required to prepare and coordinate the licensing project — initial regulatory assessment, market-access analysis, investor and treaty-status review, goods and activity classification, review of the existing IRC and ERC, identification of required amendments, preparation of application documents, coordination with authorities, responses to clarification or supplementation requests, Retail Establishment License applications, ENT-related analysis, and coordination of sector-specific approvals.

For straightforward projects, the scope may be limited primarily to the licensing application. For more complex projects, professional work may begin before the Business License application itself, particularly where the activity or goods require market-access analysis or restructuring of the investment and corporate registrations.

4. Costs of IRC and ERC Amendments

In some cases, the Business License application cannot proceed efficiently until the enterprise's existing investment and corporate registrations are aligned with the proposed business model. Additional costs may arise where the project requires amendments to registered business activities, investment objectives, project scope, investment capital, investor information, or enterprise registration information. These procedures should be identified before preparing the Business License application — otherwise, an investor may initially budget only for the Business License and later discover that the underlying IRC or ERC must first be amended.

5. Retail Establishment License Costs

A Business License does not necessarily authorise the enterprise to operate every physical retail location. Where the enterprise establishes a retail outlet subject to separate licensing requirements, a Retail Establishment License may also be required. The total project cost may increase depending on the number of proposed outlets, whether the outlet is the first or an additional establishment, the characteristics and location of the outlet, whether ENT assessment is required, and the complexity of the premises and supporting documentation.

6. ENT-Related Costs

Certain additional retail establishments may require assessment under the Economic Needs Test framework. Where ENT applies, the licensing process may involve additional regulatory analysis and supporting documentation relating to the proposed establishment. The exact scope depends on whether the establishment is an additional retail outlet, the location of the proposed outlet, its characteristics and scale, whether an exemption may apply, and the applicable market-access framework for the foreign investor.

7. Sector-Specific Licensing Costs

The distribution of certain goods may trigger additional licensing or regulatory requirements under specialised legislation — pharmaceuticals, alcohol, petroleum-related products, food products, chemicals and other regulated goods. These sector-specific procedures may involve separate authorities, application documents and professional costs. A Business License cost assessment should begin with the actual goods list, rather than relying solely on a general description such as "retail trading" or "distribution."

8. Translation, Legalisation and Other Disbursements

Foreign-invested projects may also involve additional expenses for supporting documents, including translation, notarisation, certification, consular legalisation, document delivery, and preparation of premises-related supporting documents. These costs are generally project-specific and should be identified separately from government fees and professional fees.

Scenario 1: Straightforward Distribution Project

An existing foreign-invested enterprise intends to conduct an accessible distribution activity involving goods not subject to significant sector-specific restrictions. The project may involve regulatory assessment, review of existing corporate registrations, and Business License assessment and application — generally a narrower licensing scope.

Scenario 2: Business License + Retail Outlet

A foreign-invested enterprise intends to conduct retail distribution through its own physical store. The project may involve market-access assessment, goods classification, corporate registration review, Business License, Retail Establishment License and premises documentation — the cost must account for both activity-level and outlet-level licensing.

Scenario 3: Multi-Outlet Retail Expansion

A foreign-invested retailer plans to expand into multiple locations. The project may involve existing Business License review, separate licensing analysis for each proposed outlet, Retail Establishment License applications, ENT or exemption assessment for additional outlets, and ongoing coordination with local authorities. The overall budget should be calculated on a phased or outlet-by-outlet basis.

A foreign investor intends to distribute goods subject to specialised regulation. The project may involve market-access analysis, Business License assessment, sector-specific licensing analysis, and additional approvals from competent authorities — the Business License represents only one part of the total regulatory cost.

11. Why a Fixed Price Can Be Misleading

A fixed fee may appear attractive at the beginning of a project, but it can be misleading if the scope does not clearly identify what is included. A quoted "Business License fee" may or may not include market-access analysis, IRC/ERC amendments, Retail Establishment Licensing, ENT assessment, sector-specific approvals, government fees, translation and legalisation costs, or responses to authority requests for supplementation.

Before engaging a service provider, foreign investors should confirm: which licensing procedures are included; whether government fees are included or charged separately; whether the scope includes IRC/ERC amendments; whether it includes Retail Establishment Licensing; whether it includes ENT-related work; how sector-specific approvals are handled; and what happens if the authority requests supplementation. A clear scope is often more useful than simply comparing headline prices.
