Registering a change
In Vietnam, a company must register a change of its legal representative with the Business Registration Office within 10 days from the date the change occurs. This updates the company's Enterprise Registration Certificate and the National Enterprise Registration Portal.

Legal representative: Register and update the company's legal representative information whenever the authorized signatory or legal representative changes.
Do not conflate the two
Important distinction
An authorized signatory is not automatically the company's legal representative:
- If the person is the registered legal representative, the company must amend its enterprise-registration information.
- If the person is only an internal authorized signatory, an ERC amendment may not be required, but the company should update its authorization documents, bank mandate, tax records, contracts, and relevant licensing records.
- If the change affects information recorded in an Investment Registration Certificate or the project file, the company may also need to notify or amend the investment authority's records.
The Business Registration Office generally processes a complete valid application within approximately three working days; this processing period is separate from the company's 10-day filing obligation.
Follow-up
After the amended certificate is issued
- Bank signatory and mandate records.
- Tax and e-invoicing account details.
- Seal and signature records.
- Employment or social-insurance records where relevant.
- Notification to counterparties and, where applicable, the company's VNeID and immigration filings for the incoming representative.
